All parties agree that the DepositLink service can only be used to legally bind and execute real estate contracts.
All parties understand that DepositLink is not a real estate brokerage or escrow holding company.
All parties understand that DepositLink uses the Automated Clearing House (ACH) to transfer money.
All parties agree that payments made through DepositLink to legally bind and execute real estate contracts are considered authorized debits as defined by NACHA, and cannot be recalled, returned, or reversed.
All parties agree that a dispute over a payment made through DepositLink to legally bind and execute a real estate contract will be handled by the parties involved and in compliance with local laws.
All parties agree that DepositLink is not a party to real estate contracts and will only provide records when legally obligated to.
All parties agree that DepositLink will be held totally and completely harmless if there are disputes over payments made through DepositLink.
All parties agree that an attempt to recall, return, or reverse an authorized payment made through DepositLink when legally bound by a real estate contract, or involved in a legal dispute over an authorized payment, is a crime.
If a payment is made in error, the parties involved agree to notify DepositLink in writing within 10 business days to correct the error. All parties agree that DepositLink will have 30 calendar days from the notification date to respond and/or correct the error.
All parties agree to act lawfully when using the DepositLink platform to legally bind and execute a real estate contract.
Partner agreement with Dwolla
In order to use the payment functionality of the DepositLink application, you must open a "Dwolla Platform" account provided by Dwolla, Inc. and you must accept the Dwolla Terms of Service and Privacy Policy. Any funds held in the Dwolla account are held by Dwolla's financial institution partners as set out in the Dwolla Terms of Service. You authorize DepositLink to share your identity and account data with Dwolla for the purposes of opening and supporting your Dwolla account, and you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your Dwolla account through the DepositLink application, and Dwolla account notifications will be sent by DepositLink, not Dwolla. DepositLink will provide customer support for your Dwolla account activity, and can be reached at www.depositlink.com, or support@depositlink.com.

Unless otherwise stated, DepositLink and/or its licensors own the intellectual property rights in the website and material on the website. Subject to the license below, all these intellectual property rights are reserved.

DepositLink may disable your user ID and password in DepositLink's sole discretion without notice or explanation.

Processing Fee
Consumers (buyers and renters) who use the DepositLink service to transfer money will pay a $15 USD non-refundable processing fee, per transaction, for payments up to $250,000 USD.
Exceptions
Nothing in this website disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in this website disclaimer will exclude or limit DepositLink's liability in respect of any:
- death or personal injury caused by DepositLink's negligence;
- fraud or fraudulent misrepresentation on the part of DepositLink; or
- matter which it would be illegal or unlawful for DepositLink to exclude or limit, or to attempt or purport to exclude or limit, its liability.
Reasonableness
By using this website, you agree that the exclusions and limitations of liability set out in this website disclaimer are reasonable.
If you do not think they are reasonable, you must not use this website.
Other parties
You accept that, as a limited liability entity, DepositLink has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against DepositLink's officers or employees in respect of any losses you suffer in connection with the website.
Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this website disclaimer will protect DepositLink's officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as DepositLink.

Breaches of these terms and conditions
Without prejudice to DepositLink's other rights under these terms and conditions, if you breach these terms and conditions in any way, DepositLink may take such action as DepositLink deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

Assignment

Entire agreement
These terms and conditions constitute the entire agreement between you and DepositLink in relation to your use of this website, and supersede all previous agreements in respect of your use of this website.
Law and jurisdiction
These terms and conditions will be governed by and construed in accordance with Massachusetts law, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Massachusetts.
